BizMedia Social – Advance Campaign Management Tool

These Terms of Service (“Terms”) govern your access to and use of BizMedia Social (the “Service”), an advanced social media campaign management platform operated by Site Be Media (“we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.

1. ACCEPTANCE OF TERMS

By creating an account, accessing, or using BizMedia Social, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

You represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. DESCRIPTION OF SERVICE

BizMedia Social is a social media campaign management platform that provides the following features:

  • Social Media Posting: Schedule and publish content to multiple social media platforms including Facebook, Instagram, Twitter (X), LinkedIn, YouTube, and Pinterest.
  • Campaign Management: Create and manage viral social media campaigns including sweepstakes, photo and video contests, and referral programs.
  • User-Generated Content: Capture, organize, and manage user-generated content from your marketing campaigns.
  • Analytics and Reporting: Track key performance metrics including engagement, reach, conversions, and campaign effectiveness.
  • Marketing Automation: Automate content resharing, comment responses, and other social media management tasks.

The specific features and functionality available to you depend on your selected subscription plan. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

3. USER ACCOUNTS AND REGISTRATION

3.1 Account Creation

To use the Service, you must create an account by providing accurate, complete, and current information. You agree to promptly update your account information to maintain its accuracy.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized access or use of your account. We are not liable for any loss or damage arising from your failure to protect your account information.

3.3 Account Restrictions

You may not transfer, sell, or share your account with any third party without our prior written consent. Each account is licensed for use by a single individual or organization.

4. SUBSCRIPTION AND PAYMENT

4.1 Subscription Plans

BizMedia Social offers various subscription plans with different features and pricing tiers. The features, limitations, and pricing for each plan are described on our website and may be updated from time to time.

4.2 Payment Terms

Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. You authorize us to charge your payment method for all fees associated with your subscription. All fees are non-refundable except as required by law or as expressly stated in these Terms.

4.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel prior to the renewal date. We will charge your payment method on file for the renewal period.

4.4 Price Changes

We reserve the right to modify our pricing at any time. Price changes will take effect at the start of your next billing cycle after we provide you with at least thirty (30) days’ notice.

4.5 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period, and you will retain access to the Service until that time. No refunds will be provided for partial billing periods.

5. USER RESPONSIBILITIES

You are solely responsible for:

  • All content you post, publish, or manage through the Service
  • Compliance with all applicable laws, regulations, and third-party terms of service
  • Obtaining necessary permissions, licenses, and rights for any content you use
  • Maintaining appropriate backup copies of your content and data
  • All activities conducted through your account, whether authorized by you or not

6. ACCEPTABLE USE POLICY

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Post or transmit content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • Infringe upon the intellectual property rights of others
  • Transmit spam, unsolicited communications, or engage in deceptive marketing practices
  • Interfere with or disrupt the Service, servers, or networks connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service or other accounts

  • Use the Service in any manner that could damage, disable, overburden, or impair our systems

We reserve the right to investigate and take appropriate legal action against anyone who violates this Acceptable Use Policy, including removing content, suspending or terminating accounts, and reporting violations to law enforcement.

We may provide links to third-party websites or services, but we do not endorse and are not responsible for the content, products, or services offered by third parties.

10. SERVICE AVAILABILITY AND MODIFICATIONS

We strive to provide reliable and continuous access to the Service, but we do not guarantee that the Service will be available at all times without interruption. The Service may be temporarily unavailable due to maintenance, updates, technical issues, or circumstances beyond our control.

We reserve the right to modify, update, or discontinue any feature or aspect of the Service at any time without prior notice. We will not be liable for any modification, suspension, or discontinuation of the Service.

  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the Service will be accurate or reliable
  • Any errors in the Service will be corrected

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SITE BE MEDIA, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Site Be Media, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your content; (c) your violation of these Terms; (d) your violation of any third-party rights; or (e) any activities conducted through your account.

14. TERMINATION

14.1 Termination by You

You may terminate your account at any time by following the cancellation process in your account settings. Upon termination, your right to use the Service will immediately cease.

14.2 Termination by Us

We may suspend or terminate your account and access to the Service at any time, with or without cause or notice, including if we believe you have violated these Terms or engaged in conduct harmful to us or other users.

14.3 Effect of Termination

Upon termination, all licenses and rights granted to you will immediately cease. We are not obligated to retain your content or data after termination, and we may delete it without liability. Sections that by their nature should survive termination will continue to apply, including payment obligations, intellectual property provisions, disclaimers, and limitations of liability.

15. COMMUNICATIONS AND CONSENT

By creating an account and using BizMedia Social, you expressly consent to receive electronic communications from us. These communications may include:

  • Service-related notifications and updates
  • Account and billing information
  • Marketing and promotional materials about our services
  • Educational content and best practices for social media management
  • Updates to these Terms or our Privacy Policy

You may opt out of marketing communications at any time by following the unsubscribe instructions in the emails we send. However, you cannot opt out of service-related communications necessary for your use of the Service.

16. DISPUTE RESOLUTION

16.1 Informal Resolution

Before pursuing formal dispute resolution, you agree to contact us and attempt to resolve any dispute informally. We will work in good faith to resolve the matter.

16.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State where Site Be Media is registered, without regard to its conflict of law provisions.

16.3 Venue

You agree that any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the federal or state courts located in Los Angeles County, California, and you consent to the personal jurisdiction of such courts.

17. GENERAL PROVISIONS

17.1 Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the “Effective Date” at the top of this document. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

17.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Site Be Media regarding the Service and supersede all prior agreements and understandings.

17.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

17.4 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

17.5 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms and our rights and obligations without restriction.

17.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or internet or utility failures.
